OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED.

1. SWEEPSTAKES PERIOD

The Life Alive Gift of Greens Sweepstakes (the "Sweepstakes") begins at 12:00:01 AM Eastern Time ("ET") on December 1st, 2025 and ends at 11:59:59 PM ET on December 28th, 2025 (the "Sweepstakes Period").

2. ELIGIBILITY

The Sweepstakes is open only to legal residents of Massachusetts, Washington D.C. and Virginia who are eighteen (18) years of age or older at the time of entry. Employees, officers, and directors of Life Alive Cafe, LLC ("Sponsor"), its parent companies, affiliates, subsidiaries, advertising and promotion agencies, and the immediate family members (spouse, parents, children, siblings, and their respective spouses, regardless of where they reside) and household members of each such employee, officer, or director, whether or not related, are not eligible to enter or win. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void where prohibited or restricted by law.

3. HOW TO ENTER

There are two (2) ways to enter the Sweepstakes:

A. Purchase Entry Method

During the Sweepstakes Period, &Thrive Members who purchase at least four (4) grain bowls at any participating Life Alive location or online at order.lifealive.com will automatically receive one (1) entry into the Sweepstakes drawing. Purchases may be made across multiple transactions during the Sweepstakes Period. Entries will be tracked via the email address or phone number associated with your purchase or loyalty account.

B. Alternative Method of Entry (No Purchase/Free Entry)

To enter without making a purchase, hand-print your first and last name, complete street address (no P.O. Boxes), city, state, ZIP code, telephone number, email address, and date of birth on a plain 3" x 5" card and mail it in a hand-addressed outer envelope with proper first-class postage affixed to:

Each mail-in entry must be sent in a separate outer envelope. Limit one (1) mail-in entry per outer envelope. All mail-in entries must be postmarked by December 22nd, 2025 and received by December 28th, 2025 to be eligible. Sponsor is not responsible for lost, late, incomplete, invalid, illegible, misdirected, or postage-due mail.

Entry Limits

Limit one (1) entry per person/email address regardless of method of entry. Multiple entrants are not permitted to share the same email address. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations, or any other methods will void all of that entrant's entries, and that entrant may be disqualified. Entries generated by script, macro, or other automated means or by any means that subvert the entry process are void. All entries become the property of Sponsor and will not be acknowledged or returned.

4. WINNER SELECTION

One (1) potential Grand Prize winner will be selected in a random drawing from among all eligible entries received during the Sweepstakes Period. The drawing will be conducted on or about December 31st, 2025 by Sponsor, whose decisions are final and binding in all matters relating to the Sweepstakes. Odds of winning depend on the number of eligible entries received.

5. WINNER NOTIFICATION

The potential Grand Prize winner will be notified by email at the email address provided with entry within approximately five (5) business days of the drawing date. If a potential winner does not respond to notification attempt within two (2) business days of the first notification attempt, or if any prize or prize notification is returned as undeliverable, or if a potential winner is found to be ineligible, cannot comply with these Official Rules, or declines the prize for any reason, such potential winner will be disqualified and the prize may be awarded to an alternate winner selected in a random drawing from among all remaining eligible entries. Only three (3) alternate winners will be contacted, after which the prize may remain unawarded.

Before being declared the official winner, the potential winner will be required to sign and return an Affidavit of Eligibility, Liability Release, and (where legal) Publicity Release within seven (7) days of notification attempt. Noncompliance with this requirement or return of any prize/prize notification as undeliverable may result in disqualification and selection of an alternate winner.

6. PRIZE

ONE (1) GRAND PRIZE: The Grand Prize consists of:

One (1) Life Alive gift card with a value of One Thousand Dollars ($1,000.00)
One (1) Life Alive branded sweatshirt (Approximate Retail Value "ARV": $40)
A wellness stipend of One Thousand Five Hundred Dollars ($1,500.00) provided in the form of a check or Visa/Mastercard gift card, intended for use toward a wellness retreat, spa services, fitness classes, or similar wellness activities

Total ARV of Grand Prize: $2,540

Prize Conditions:

Gift card is subject to Sponsor's standard gift card terms and conditions, has no cash value, and cannot be redeemed for cash except as required by law.
Gift card does not expire.
Wellness stipend will be awarded as a check or prepaid Visa/Mastercard gift card made payable to winner and may be used at winner's discretion for wellness-related activities. Sponsor is not responsible for how stipend is used.
Sweatshirt will be awarded in winner's choice of available sizes, subject to availability.
Prize is awarded "as is" with no warranty or guarantee, either express or implied.
No substitution, transfer, or cash equivalent of prize permitted by winner, except at Sponsor's sole discretion or as otherwise required by law.
Sponsor reserves the right to substitute prize (or portion thereof) with one of comparable or greater value at its sole discretion.
All federal, state, and local taxes and any other costs and expenses associated with prize acceptance and use not specified herein as being provided are the sole responsibility of winner. Winner will receive an IRS Form 1099 for the ARV of the prize if required by law.
Any difference between stated ARV and actual value of prize will not be awarded.

7. WEEKLY PROMOTIONAL GIFTS (NOT PART OF SWEEPSTAKES)

The following weekly promotional gifts are available only with qualifying grain bowl purchases and are NOT part of the Sweepstakes. No alternative method of entry or substitution is available for these promotional offers:

Dec 1-7: One (1) free coffee, matcha, or wellness shot with grain bowl purchase
Dec 8-14: One (1) free soup with grain bowl purchase
Dec 15-21: One (1) free avocado chocolate mousse or strawberries & cream power chia with grain bowl purchase
Dec 22-31: $10 off discount valid for January 2026 with grain bowl purchase

8. GENERAL CONDITIONS

By entering, each entrant agrees:

To be bound by these Official Rules and the decisions of Sponsor, which are final and binding in all respects.
To release, discharge, and hold harmless Sponsor, its parent companies, subsidiaries, affiliates, directors, officers, employees, and agents (collectively, "Released Parties") from any and all injuries, liability, losses, or damages of any kind arising from or in connection with the Sweepstakes or the acceptance, possession, use, or misuse of any prize, including without limitation personal injury, death, and property damage.
That Released Parties are not responsible for: (i) any incorrect or inaccurate information, whether caused by entrants, printing errors, or by any equipment or programming associated with or utilized in the Sweepstakes; (ii) technical failures of any kind, including but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (iii) unauthorized human intervention in any part of the entry process or the Sweepstakes; (iv) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (v) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Sweepstakes or receipt or use or misuse of any prize.
If, for any reason, the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Sweepstakes.

Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

9. PRIVACY

Information collected from entrants is subject to Sponsor's Privacy Policy, available at [INSERT URL]. By participating, entrants consent to Sponsor's collection and use of their personal information as described in the Privacy Policy.

10. PUBLICITY RELEASE

Except where prohibited by law, entry and acceptance of prize constitutes permission for Sponsor and its designees to use winner's name, photograph, likeness, voice, biographical information, statements, and city/state of residence for advertising and promotional purposes in any media now or hereafter known throughout the world in perpetuity without additional compensation, notification, or permission.

11. DISPUTES/CHOICE OF LAW

Except where prohibited, by entering, entrants agree that: (i) any and all disputes, claims, and causes of action arising out of or connected with the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by Massachusetts state courts; (ii) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys' fees; and (iii) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Massachusetts, without giving effect to any choice of law or conflict of law rules.

12. WINNER'S LIST

For the name of the winner, available after January 31st, 2026, send a self-addressed, stamped envelope to: Life Alive Gift of Greens Sweepstakes Winner, 765 Massachusetts Ave, Cambridge, MA 01239. Requests must be received by March 3rd, 2026.
